What is a participation certificate?

In essence, participation certificates are “non-voting shares” issued in return for a contribution. Holders are entitled primarily to economic rights: a share in the balance sheet profit or dividend and in the distribution of any liquidation proceeds, as well as the right to subscribe for new shares.

At what price can I acquire participation certificates?

Will I face any fees or additional costs?

Beyond the purchase price of the participation certificates, the issuer charges investors no administrative costs. Please note that the purchase price is payable in euros.

What happens to the capital in Ella Media AG?

Ella is pursuing an ambitious growth story. Projects that can be financed from the earnings of ongoing operations are delivered faster with additional capital. Capital is the accelerator in our development.

Is there a register of the holders of the participation certificates?

The board of directors enters the holders and the number of participation certificates each one holds in a company register kept for this purpose.

How long does it take before I become a holder of the participation certificates?

As a rule, the Board of Directors allots the participation certificates within one to two months of subscription. You receive a corresponding written confirmation of the entry.

Do I have to pay tax on the income from the participation certificates?

Income tax is governed by the tax law of each investor's country of residence. We recommend seeking personalised tax advice.

Michael Keusgen has been at the helm of Ella since the research initiative in 2016. He has led the company since Ella Media AG was formally founded in 2020. His aim: technology that creates and develops relationships between people rather than replacing them.

With almost four decades of experience in technology and media, he has developed Ella from a research idea into a regulation-compliant AI platform for European healthcare, today with a team of around 20 people across three locations.
